Who we are and acceptance

Spaitz operates the Spaitz platform and websites. "Spaitz", "we", "us" and "our" refer to the platform operator; "you" refers to the person or business using the platform. If you use Spaitz on behalf of a business (a farm, a household, or a HoReCa buyer), you confirm that you are authorised to bind that business to these terms. If you do not agree with these terms, do not use the platform.

What Spaitz provides

Spaitz is an online marketplace and workspace that connects local farmers and suppliers with buyers. Through the platform you can:

• create and manage a workspace for a farm, household, or HoReCa business;
• publish products, stock, bundles, and fulfilment options as a supplier;
• build shopping lists or procurement plans, receive matching supplier options, and place orders as a buyer;
• coordinate pickup or delivery and supplier confirmation of orders;
• leave and read ratings and reviews about the suppliers you buy from;
• receive order updates and reminders by in-app notification, email, mobile push, or SMS, on the website or the Spaitz mobile app.

Spaitz is an intermediary, not the seller

Spaitz provides the venue and tools that let buyers and farmers find each other and agree orders. The contract of sale for any produce is concluded directly between the buyer and the farmer or supplier. Spaitz is not a party to that contract, does not own, sell, store, or deliver the produce, and is not the agent of either party. Farmers and suppliers are solely responsible for their products, prices, descriptions, and for complying with applicable food-safety, labelling, and trading laws.

Eligibility

You must be at least 16 years old to create an account and use Spaitz. Sign-in is provided through Microsoft Entra External ID; you are responsible for keeping your sign-in credentials secure and for all activity that takes place under your account. You must provide accurate information and keep it up to date.

Accounts and workspaces

Some features are organised around workspaces that may have multiple members and roles. The workspace owner is responsible for managing membership, roles, and the data added to the workspace, and for ensuring that members comply with these terms. You must not share your account, impersonate others, or access a workspace without authorisation. Notify us promptly of any unauthorised use of your account.

Roles on the platform

Different participants have different responsibilities:

• Farmers and suppliers list products and stock, set prices, confirm or decline orders, and fulfil them through pickup or delivery.
• Buyers (households and customers) create lists, place orders, and collect or receive produce.
• HoReCa buyers create procurement plans and orders for their business and are responsible for their workspace members.

Orders and supplier confirmation

Orders are coordinated through the platform as follows:

• You build a shopping list or procurement plan and receive matching supplier options.
• When you place an order, it is sent to the relevant farmer or supplier as a request.
• The farmer may accept, decline, or partially accept the order; a binding sale arises only when and to the extent the farmer confirms.
• Quantities, prices, and stock shown are indicative until confirmed by the farmer and may change due to seasonality, weather, or actual harvest.

Prices and payment

Prices for produce are set by farmers and suppliers and, where required, include or state applicable taxes. In this version of the platform, Spaitz does not process or hold payments for produce orders: payment is made directly between the buyer and the farmer at handoff (pickup or delivery), using the methods the farmer accepts. Separately, Spaitz may charge platform subscription fees to business workspaces; those fees are billed through our payment processor (Stripe) on the plan you select, applicable taxes may be added, and card details are handled by Stripe, not stored by Spaitz.

Pickup and delivery

Fulfilment is arranged between the buyer and the farmer using the pickup or delivery options shown for an order. The farmer is responsible for the condition and timing of the produce until handoff. Buyers are responsible for collecting orders, or being available to receive them, at the agreed time and place. If you cannot complete a pickup or delivery, let the other party know as early as possible through the platform.

Farmer and supplier obligations

If you list products on Spaitz, you are responsible for:

• providing accurate product descriptions, prices, stock, and fulfilment information, and keeping them current;
• the quality, safety, and legal compliance of the produce you sell, including food-safety, hygiene, and labelling rules;
• holding any registrations, authorisations, or certifications required to sell your products;
• honouring confirmed orders and communicating promptly about changes or cancellations;
• issuing any receipts, invoices, or fiscal documents required by law.

Buyer obligations

If you place orders on Spaitz, you are responsible for:

• providing accurate order, contact, and address details;
• collecting or receiving confirmed orders at the agreed time and place;
• paying the farmer the agreed price at handoff;
• inspecting produce on handoff and raising any issue with the farmer without undue delay.

Cancellations and right of withdrawal

You may cancel an unconfirmed order request at any time through the platform. After confirmation, cancellations are a matter between the buyer and the farmer. Where a consumer buys from a trader, statutory consumer-protection rights apply; however, the legal right of withdrawal generally does not apply to perishable goods or goods that may deteriorate quickly, such as fresh produce. Nothing in these terms removes mandatory rights you have as a consumer under Romanian and EU law.

Your content

You keep ownership of the content you add to Spaitz, such as listings, images, descriptions, and reviews you post. You grant Spaitz a non-exclusive, worldwide, royalty-free licence to host, display, and use that content as needed to operate and promote the platform. You are responsible for ensuring you have the rights to the content you upload and that it is accurate and lawful.

Acceptable use

When using Spaitz, you must not:

• break any applicable law or infringe anyone's rights;
• post false, misleading, or fraudulent listings, orders, or reviews;
• sell goods you are not legally permitted to sell;
• misuse, disrupt, or attempt to gain unauthorised access to the platform or other users' accounts;
• scrape, copy, or harvest data from the platform except as expressly permitted;
• upload malicious code or use the platform to send spam or harmful content;
• falsify your device location or other verification data, including to obtain a location-verified badge you are not entitled to.

Platform subscriptions

Some business features may require a paid subscription. Subscription scope, price, and billing period are shown when you subscribe. Unless stated otherwise, subscriptions renew automatically for successive periods until cancelled, and you can manage or cancel a subscription from your workspace settings. Fees already due are non-refundable except where required by law.

Intellectual property

The Spaitz name, logo, software, and the platform itself are owned by Spaitz or its licensors and are protected by intellectual-property laws. These terms do not grant you any right to use Spaitz branding except as needed to use the platform as intended.

Disclaimers and limitation of liability

The platform is provided on an "as is" and "as available" basis. Because Spaitz is an intermediary and not the seller, we are not responsible for the quality, safety, legality, or fitness of produce, for the accuracy of listings, or for the acts or omissions of buyers and farmers. To the maximum extent permitted by law, Spaitz is not liable for indirect or consequential loss, and our total liability arising from your use of the platform is limited to the platform fees you paid to us in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or your mandatory consumer rights.

Suspension and termination

You may stop using Spaitz and close your account at any time. We may suspend or terminate access if you breach these terms, if required by law, or to protect the platform and its users. We will give reasonable notice where practicable. Provisions that by their nature should survive termination — such as those on liability, intellectual property, and governing law — will continue to apply.

Governing law and disputes

These terms are governed by Romanian law, without prejudice to the mandatory consumer-protection rules of your country of residence. Disputes are subject to the competent Romanian courts. Consumers may also contact the National Authority for Consumer Protection (ANPC) and use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Changes to these terms

We may update these terms as the platform evolves and will revise the date above when we do. Material changes will be notified through the platform; continuing to use Spaitz after changes take effect means you accept the updated terms.
